1. Acceptance of Terms

By accessing or using ProDesigner.App ("the Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not accept these Terms in full, you must not use the Service.
These Terms apply to all users, regardless of geographic location. Use of this Service constitutes a legally binding agreement under applicable local, national, and international laws.

2. Use of the Service

ProDesigner.App is a free, web-based design tool suite provided for personal or professional use without any service-level guarantees. You may not use the Service for any unlawful purposes or in violation of any applicable laws.

3. License Grant and Restrictions

ProDesigner.App grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal or professional purposes only. This license does NOT include any right to:

• Copy, modify, or create derivative works of the Service

• Sell, rent, lease, sublicense, or transfer the Service to third parties

• Remove or alter any proprietary notices or labels

• Use the Service to create competing products or services

• Circumvent, disable, or interfere with any security features or technical protection measures

4. Donation Model and Commercial Use Prohibition

ProDesigner.App is provided free of charge and operates on a voluntary donation model. The Service is intended to remain accessible to all users at no cost.
Users are expressly PROHIBITED from:
• Charging others for access to the Service
• Bundling the Service with paid products or services
• Creating paid derivatives or "premium" versions
• Representing themselves as authorized resellers or distributors
• Marketing or selling tools, services, or products based on or derived from this Service

Any such commercial exploitation violates these Terms and applicable copyright law, regardless of whether source code is publicly accessible or modifications have been made.

5. No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY, AVAILABILITY, OR RELIABILITY

We do not guarantee that the Service will be uninterrupted, secure, or error-free. All risk arising out of use remains solely with the user.

6. Limitation of Liability

To the maximum extent permitted by applicable law (including U.S. federal and state law and international jurisdictions), ProDesigner.App, its owner(s), affiliates, contractors, or licensors shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages, including but not limited to:
• Loss of data or profits
• Device or software failure
• Business interruption
• Service unavailability
• Errors in output
• Legal disputes arising from third-party use
This limitation applies regardless of the theory of liability, whether in contract, tort, strict liability, or otherwise—even if we were advised of the possibility of such damages.

7. Availability & Support

The Service may be modified, suspended, or terminated at any time without notice. No guarantees are made regarding uptime, feature continuity, or technical support. We reserve the right to limit access to any part of the Service, for any reason, without liability.

8. Intellectual Property Rights

Ownership: Unless otherwise stated, all content, code, algorithms, design elements, and UI/UX elements within ProDesigner.App are the exclusive property of its creator(s). ProDesigner.App, its logo, and all associated marks are trademarks protected under U.S. and international trademark law.

Protection Scope: The software code, algorithms, interface design, visual elements, and the unique combination and configuration of components are protected by U.S. and international copyright laws.

Prohibition on Replication: You may not replicate, reverse-engineer, decompile, disassemble, or distribute any part of the Service for commercial purposes without express written permission.

Source Code: The availability of source code for viewing, inspection, or educational purposes does not constitute a license to copy, modify, redistribute, or create derivative works. All source code remains proprietary and protected by copyright.

Open Source Components: While certain components may be subject to open-source licenses (as specified in accompanying documentation), the Service as a whole—including its unique combination, configuration, UI/UX design, branding, and proprietary features—remains the exclusive property of ProDesigner.App and may not be replicated or commercialized.

9. Enforcement and Remedies

Any unauthorized copying, distribution, modification, or commercial exploitation of the Service's code, algorithms, design elements, or other proprietary components constitutes copyright infringement and breach of these Terms.
We reserve the right to:
• Immediately terminate access for violators
• Pursue legal remedies including injunctive relief and monetary damages
• Monitor for unauthorized use, copies, forks, and commercial exploitation through technical and legal means
• Require violators to disgorge all profits obtained through misuse
• File DMCA takedown notices and equivalent international procedures for infringing content
Permission Requests: Written permission requests for commercial use, distribution, or modification must be submitted to us here. Unauthorized use without obtaining written permission will result in immediate account termination and may subject violators to legal action.

10. User Content

If the Service allows uploading or generation of content:
• You retain ownership of your content
• You are solely responsible for ensuring your content complies with all laws and does not infringe on third-party rights

11. Jurisdiction and Governing Law

This agreement shall be governed by and construed in accordance with:

• The laws of the United States and the State of Connecticut, for users within the U.S.

• Applicable international law, including the United Nations Convention on Contracts for the International Sale of Goods (where relevant), for users outside the U.S.

All disputes arising from or relating to these Terms will be subject to the exclusive jurisdiction of competent courts in Connecticut, U.S., unless otherwise required by mandatory local law. By using this Service, you consent to the jurisdiction and venue of these courts.International Users: Users outside the United States acknowledge that use of this Service involves transmission of data to the United States and agree to comply with all applicable export control and data protection laws.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable in a given jurisdiction, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' intent.

13. Modifications to Terms

We may revise these Terms at any time by updating this page. Material changes will be indicated by updating the effective date at the top of this document. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

14. Entire Agreement

These Terms constitute the entire agreement between you and ProDesigner.App concerning the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
